Hi, Folks.
Fir stupp, CTS, I think your hornet analogy could be very appropriate - - - azza word of caution for the people who stirred up a hornet's nest by circulating this letter.

FroghairFarm, inna club like this, there will almost never be nothing for the directors to do simply 'coz yer dealin' with human nature - with all of its foibles. That said though, inna well run organization, there is pretty much always gonna be a core of support for those doing the running.

I know some of the current BoD members personally and have met a couple of others briefly. Among those I do know or have met briefly, I see a genuine desire to steer the club in the best directions possible given the current finanical and legal situations.

I have also had some interaction spanning some years with some of the people on 'the list' and have briefly met some others. Heck, one of them even made a comment at the AGM in Iowa last year that BoD members SHOULD physically attend the AGMs - - - smack in the middle of ongoing 'kung flu' travel restrictions, including international restrictions, when we had at least three international BoD members. I wish that I could honestly say the same as I have said above regarding the current members about some of them but I can't so perhaps it'z for the best if I leave it like that. 'Nuff said??????????????????

Quite aside from any opinions that I may hold about any of them, the simple fact that they have acted in the way that they have speaks VOLUMES about them.

You make some good points, and I'll add to them a bit.

As far as meetings in person go, 1 - This is an international club, and these board members are volunteers adding travel at their own expense is a ludicrous request and/or expectation, 2 - Lots of business is conducted daily via online meetings, they work and are effective. Let's move on.

The other fact to face is that this is an international club, without our bothers and sisters outside the US, the Club would be insolvent. The bottom line is that every member is important regardless of location both for their financial support and for their personal efforts.

Let's appreciate the members on the board AND the committees, they are all volunteers and give a lot of time, talent and effort to the club, they may not always get it right, but I can say that my experience has been that they want to, and hearing from you is welcome.

If any member doesn't know how to help the club but wants to, try this one thing for a bit: Any time you see a new poster or someone posting here that hasn't much, give them a HUGE welcome and a "thanks for posting!". Post a compliment for anyone posting pics of a new acquisition. Those things are easy for us to do and can make the difference between a one and done visitor and a new inmate here at the Nuthouse!

In case you are thinking that your president has been "missing in action" over the last week or so, I can assure you that I and your other directors have been very busy.

Below is a copy of a note which will be emailed out to all members in the very near future.
Members can choose to attend any of the three zoom meetings and joining details will accompany the email to be sent out and will also be posted in the members area of the website.

If you care about the future of our club then I strongly urge you to participate.

We have recently received a letter from a few members concerned about Club operations and decisions. That letter purports to call a meeting next month and proposes to recall and replace the current leadership. Our attorney with the Center for Nonprofit Law has informed us that the meeting was not properly called pursuant to Oregon law (ORS Chapter 65) and therefore no member decisions, if any, made at that meeting will be binding on the organization. However, we do wish to have an open forum for constructive discussion, presenting financial reports, and questions. Together, we can make the Club stronger into the future! Therefore, we will be holding joint member-Board meetings on 8th and 9th of November. Because we have international members, it would be a burden (not to mention undemocratic) to demand an in-person meeting and so these meetings will be held by zoom. We will hold three meetings at different times of day so that any member will be able to choose which best fits their schedule. No votes will be called for at these meetings, but open discussion and constructive suggestions for the future are encouraged. Oregon state law ORS 65.205 provides that members that are not physically present for a membership meeting may participate in, be deemed present in person at, and vote at membership meetings if the board of directors authorizes participation by remote communication.  We have voted to allow remote participation. Each member participating remotely who wishes to have their participation recorded shall ensure their screen name is accurate and they must type their name in the chat to verify their membership.  We look forward to seeing you on November 8th and/or 9th. To address Andy's point about publishing of board meeting minutes, these are published as soon as approved by the board by our very able secretary Pete Oswald.

To see all the minutes for 2022 you need to click on the text  "2022" and the section below that heading opens to reveal all the minutes for 2022 in the same way if you click on 2021 you will see all minutes for 2021.

That's all well and good but I'd much prefer to see a prepared agenda for these meetings, and not just have a "free for all" discussion.
What are the specific issues to be discussed, How will the outcome be accomplished and any other information to allow members to prepare for this meeting.

OM - we will definitely have an agenda prepared for these meetings and they will be posted here in the forum. 

You can count on the following: 1) Chapters, 2) Store, 3) Shows - and likely some other things

Any topic that is on the agenda will be there for the purpose of: 1) Explaining the issue, 2) Presenting possible solutions, 3) Soliciting the membership for input and solutions

I would also recommend to any member, that if there is something that you feel this Club needs to address in any form, let a Director know.

A - Antique
C - Caterpillar
M - Machinery
O - Owners
C - Club

Antiques are those that are no longer wanted or serving a daily working life --- YEP - Many of US.
Caterpillar speaks to the HOLT-BEST and post merger equipment
Machinery - "Caterpillar" made many more machines than tracklaying tractors
Owners -- Those persons that owned or do own the above branded equipment
Club --- This is where the rub comes - everyone has an opinion and they do not often mesh --


Your take on the "M" is interesting. As an editor I always found  it annoyingly redundant. (I still do, but that's just me.)

I suspect that the chief reason why it appears that the membership's 'one primary role' appears to be "to rubberstamp the slate of officers that the existing Board presents annually." is that there are seldom if ever enough candidates putting their hands up for BoD member positions for there to be any contest for the positions.

By your own 'figgers', it would take 1,064 votes in the affirmative for a majority of the 2,126 members.

You raise the issue of the BoD not doing what the members voted for regarding the name change and moving the club's base to Illinois. How many of the current BoD members were serving on the BoD when that happened?

I dunno about any 'secret' minutes. If my understanding is correct, the minutes of the previous meeting have to be approved correct by a majority of the BoD present at the last meeting before they can be published to the members. This would mean that the minutes would always be one month behind the most recent scheduled BoD meeting date.
