Could someone give a run down of what requirements are the issue? I volunteer for a group that is a 501C3 and the paperwork (which I dont do) is a pain but with one member who can deal with fussy, fussy paperwork, the group runs fine. My family had a corporation for a while and it was the same sort of thing. Details and accurate book keeping make things work. As has been said, it doesnt take a genius to keep records. I hope the club rebounds and maybe the chapters that have figured out the new system can offer advice to chapters that are not doing too well. Just my 2 cents worth. Grant.

Grant I just posted a brief guide, I can provide a detailed guide to anyone. You are right, this is not that hard.

Sasquach hit the nail right on the head. I understand the issues facing the BoD forced them to make the decisions they felt were best for the club. Whether or not those decisions were correct is yet to be seen. I am holding out hope that the club will come back to its former glory. My personal feeling is that this transition was handled very poorly. There are many variables to setting up a non-profit in the U.S. and those laws vary state to state.
It is nowhere as easy as it was made out to be. After all of the of the back and forth about what the club was going to require or not require of the chapters a deadline was imposed that was unobtainable for many of us. There was not enough time given between the final order to discuss with the membership of the chapter, consult an attorney and an accountant and then deal with all of the federal and state red tape. Our group couldn't have even gotten the paper work completed with the State of Illinois in the time allowed let alone accomplish the rest of what needed done. Add to that many members not wanting to renew their membership in ACMOC after the unprofessional tone of some of the board meetings towards former board members who I and others consider long time friends. I myself am getting tired of all of the chapters that folded being portrayed as lazy and incompetent by the current board and especially club president. That is not leadership. Previous boards made decisions that caused the financial issues. Those mistakes were not done to purposely harm the club. I have talked to many of them and they have all admitted their mistakes to me. Hide sight is 20/20. They had good intentions but took the wrong path. I am sure evryone one here has made some poor finacial decisions that looked good at the time. The current BoD has made decisions to do what they thought was best to rectify those issues. That is what they were elected to do. If you think they are in the wrong then run for the board. Going forward if the club is going to survive a lot of people including the current BoD need to stop pointing fingers and own up to their decisions. The current board handed down an order that caused 20 U.S. chapters to fold because they determined that was what was best. That is on the current BoD. Not the chapters that folded, not on the general membership. The BoD needs to own their decisions and move forward so that we will have a successful club in the future.

CRS, this just is not the case. I know from personal experience that the time allowed was ample to either complete the required work or to have it substantally completed.  Also, no one other than chapter 15 asked for more time to complete the task, in fact, no one that closed their chapter cited time as a reason for closing down.

I disagree that this is "all on" the BOD. While none of us are perfect, and do make mistakes, there was also no constructive input from chapters. I hear loud and clear that nobody like the change, but also, no one has come with alternative solutions, which have been asked for. 

There are some states where the work could take 3-4 hours, and some that might take 20, but the idea that this is a task that no one could possibly do is just not the case.

I guess the simplest thing to say in a neutral position is reach out to the board members for your answer(s). I do not think they will respond on the forum or to specific requests. The chapters and members where provided with a letter of requirements and included a statement that they must have approval to share information on the forum by the board. Chapters specifically just paid supporters, volunteers, and club donation givers have been very busy and professionally handling the matter internally.

The statement that we would not share the guidelines is flat out untrue. I'll share with anyone that is interested. Think about it, if someone wanted to form a new chapter, would we not gladly share the info? Would we not have to share the info?

Yes the unobtainable deadline, which no one speaks of.
more than anything ended the chapters.

So , If this deadline has passed ,Why are Chapter 5 and 15 still trying to  complete the registration ????
Is Chapter one compliant  ? Has Chapter 31 formed after ,and compliant ?
Without Chapters ,Is this the end of the ACMOC national shows . I cant see the Bods organizing a show .
How long is the forum going to be open for ?  Joe Blacks ACME forum is still around .


Simple answer: Because they asked for more time and they could demonstrate that they were actively pursuing the change. They engaged productively.

Chapter 1 and 31 are both contract chapters and are separate entities from the club. Clearly, they could do it, proving it possible.

The board is heartily supporting members that wish to organize and operate a show. If you read Issue #164, you will see the opportunity and the financial support the club is offering. The only reason that this would be the "end" of shows, is if there are not enough members that are interested enough in them to make it happen.

Kurt,

Please reread the post that is not what was said only interpreted by yourself.  What was said was communicated from yourself to the chapters and members and escaluated to something totally different on the defense in the moment and personally redirected.  I was only trying to help some seek an appropriate means of helping people get an answer professionally from the clubs policy and chapter guidelines that was provided.  I am confused where communicating a policy is untrue and false and not trying to be helpful.

I have tried to stay out of this discussion this time around, but I think it is unfair to imply that subsidiary chapters didn't convert because they were too ignorant, too lazy, or both. The statement that there was no constructive input from chapters also rings hollow when there was a committee formed for just that and then it was never really convened for that purpose.

I share the opinion that the deadline given was inadequate to really take a thoughtful approach to becoming a contract chapter. Comments that it takes as little as 3 hours to set up a chapter is ironic coming from a board that spent over 6 months "consulting a lawyer" on chapter structures. Even the guidelines sent out to the chapters stated there were options in the way it could be executed. Personally, I like to consult others and involve members in the discussion and listen to their ideas when there are options to be considered. That takes more than the few hours. I know we spent more than a few hours just investigating the process and options, as well as consulting professionals, leaders of other chapters, and our membership.

Admittedly though, for our chapter the deadline was not the primary reason for disassociation. The terms of the contract we were being asked to sign were a significant part of it as well. Frankly, interactions over the past year+ with the current ACMOC board made the idea unappealing to go through all the trouble to become an independent legal entity, and then contractually bind ourselves with a group that showed so little respect for chapters like ours, especially when there was so little benefit to the chapter in doing so. The subsequent actions of the BOD toward chapters that did not convert has only confirmed our assertion that it was not a group we wanted to align with.

Also in the contract was a term we simply could not meet; that all chapter members be a member of ACMOC. The events of the last couple of years unfortunately left us with members that want nothing to do with ACMOC at a national level. We also have members that never have been members of ACMOC but joined the chapter because they like tractors and their friend's tractors happen to be yellow. As it has been pointed out in the past, ACMOC membership has always been a requirement, but a big part of this change in chapters is agreeing to and enforcing the rules. I could not in good conscience sign a contract for something I have no desire to enforce.

So, in the end, the decision to not become an ACMOC contract chapter was not out of laziness or stupidity, but because it was not a good fit for our group. The recent announcement of show sponsorships for chapters is a step in the right direction. A few other benefits like that and the passage of time may compel us to reconsider. Similar to the sentiment expressed by Angelo, I wish the best of luck to ACMOC. I continue to be a member and encourage others with the interest to become and remain members. I am glad to see that several of the former chapters, like Heartland Earthmovers, continue to operate as a group of likeminded Cat enthusiasts, unfortunately just not as a group that collectively supports ACMOC.

Thank you Sasquatch and Dave for your considered analysis of the Chapter situation from members at the coal face so to speak. It was very hard to draw a line in the sand and finally tackle an untenable situation. I guess people don’t like change and there has been a lot of that lately! Interesting point about not all chapter members wanting to be ACMOC members. As has been said we are where we are, everything was done with the best intentions and with a lot of thought but the time for recriminations is passed and moving forward I’m positive that ACMOC can continue and adapt to these changing times. As a volunteer board member who is putting in far more time than I anticipated for the benefit of the club I appreciate your comments and hope that we can provide a positive raft of member benefits such as the Technical Library, Forum and Magazine. And share in our enjoyment of preserving these amazing machines!

to dave tallons point some people choose not to be members of the main club for whatever reason create a problem where does the money to run the club come from.

it comes from membership dues and donations to the club. how is it fair to provide extra services to people who dont pay for it. hence why the members area and member library was created to encourage people to join the main club and thus support it wider activities.

how we do it in australia with our nhma membership is everyone including the clubs that choose to associate with the NHMA are members and part of your club dues is membership too the national body which gives us our national insurance coverage and safety procedures. most of that fee is for the insurances. thier are some large clubs that have thier own insurance but still associate with nhma and thier is a another collectors association too. and for the most part everyone gets along and we go to each others events.

and yes it is more complex in the states as thier is 50 different sets of laws regarding social groups becoming incorporated.

now we really are flogging a dead horse can we just let this issue die a natural death.
im sure any group that wanted to come back to the fold would be welcomed.
